These Terms and Conditions (“Terms”) govern your access to and use of the Socialphotos website and application available at socialphotosapp.com, as well as any related services, features, or content (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms.

We reserve the right, in our sole discretion, to refuse service, suspend, or terminate any account at any time and for any reason, including (without limitation) unruly or abusive conduct, disrespect toward our staff or users, bad-faith behavior, harassment, non-payment, attempted fraud or chargebacks, or public disparagement that harms our reputation or business interests. Where legally required, we will provide appropriate notice.
We may modify these Terms at any time. When we do, we will update the “Last updated” date above and, where required by law, provide notice. Changes take effect when posted unless otherwise stated. If you continue using the Service after changes become effective, you agree to the updated Terms. If you do not agree, you must stop using the Service and, if applicable, cancel your subscription.
You may upload, submit, or connect content through the Service (“User Content”). You represent that you have all necessary rights to do so. You retain ownership of your User Content. You grant us a worldwide, non-exclusive, transferable, sub-licensable, royalty-free license to host, store, reproduce, modify, display, and otherwise use your User Content solely to operate, provide, maintain, improve, and promote the Service. To the extent allowed by law, you waive any moral rights you may have in User Content for those purposes.
We may remove or disable access to any User Content that we reasonably believe violates these Terms or applicable law.
The Service integrates with third-party services (e.g., Facebook/Instagram APIs, AWS, analytics, payment processors, support tools). Your use of those services may be subject to their terms and policies. We are not responsible for third-party services and do not control their availability or content.
The Service (including all software, features, UI, designs, logos, and content other than User Content) is owned by us and our licensors and protected by law. Except for rights expressly granted, we and our licensors reserve all rights. You may not copy, modify, create derivative works of, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract the source code, except where permitted by law.
Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and share information. By using the Service, you consent to our data practices as described there.
We implement reasonable technical and organizational measures to protect the Service and your data. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.
We may modify, suspend, or discontinue the Service (or any part) at any time with or without notice, including for maintenance, updates, or force majeure events. We are not liable for unavailability, delays, or failures caused by events beyond our reasonable control.
To the maximum extent permitted by law, the Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that content will be accurate or complete.
To the maximum extent permitted by law, in no event will Socialphotos, Singasystems Pte. Ltd., or our affiliates, officers, directors, employees, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages (including loss of profits, revenue, data, or goodwill), arising from or related to your use of or inability to use the Service—even if advised of the possibility of such damages.
To the extent permitted by law, our total liability for all claims relating to the Service will not exceed the greater of (a) the amount you paid us for the Service in the 12 months immediately preceding the event giving rise to the claim, or (b) USD $100. Some jurisdictions do not allow certain limitations; in those cases, these limitations apply only to the extent permitted by law.
You will defend, indemnify, and hold harmless Socialphotos, Singasystems Pte. Ltd., and our affiliates, officers, directors, employees, and agents from and against any third-party claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any law or third-party right.
You represent that you are not located in, under the control of, or a national or resident of any country or region subject to comprehensive sanctions, and you will not use the Service for prohibited end-uses or transfer it to prohibited parties under applicable export or sanctions laws.
We may provide notices by posting to the Service, emailing the address associated with your account, or by other reasonable means. You consent to receiving electronic communications from us related to your use of the Service.
These Terms and any dispute or claim (contractual or non-contractual) arising out of or in connection with them are governed by the laws of Singapore, without regard to its conflict-of-laws principles. You and we submit to the exclusive jurisdiction of the courts of Singapore. If consumer protection laws in your country provide you with mandatory protections, those protections remain in force.
Please contact us first; we will try to resolve disputes amicably within 21 days of receipt. The European Commission’s Online Dispute Resolution (ODR) platform has been discontinued as of July 20, 2025. EU/UK consumers can still contact us directly using the details below.
We may assign or transfer our rights and obligations under these Terms (in whole or in part) without restriction, including as part of a merger, acquisition, or asset sale. You may not assign or transfer your rights or obligations without our prior written consent.
